Fairfax to Buy 60.72% of IDBI Bank for ₹52,878 Crore in Record Deal

The government has approved the sale of a 60.72% controlling stake in IDBI Bank to Canadian billionaire Prem Watsa's Fairfax Financial Holdings for ₹52,878 crore. The deal, priced at ₹81 per share, marks the largest Foreign Direct Investment (an investment from a party in one country into a business in another) in India's financial sector. The government will sell a 30.48% stake and the Life Insurance Corporation of India (LIC) will sell 30.24%. Post-sale, the government and LIC will retain stakes of 15% and 19%, respectively. The transaction is expected to help the government meet its ₹80,000 crore disinvestment target for the fiscal year.

What this means

This deal is less about buying a bank and more about buying scale. For Fairfax, which already owns the smaller, southern-focused CSB Bank, this is a fast-track to a national footprint. IDBI brings a deposit base over seven times larger than CSB's, a much stronger low-cost deposit franchise, and a loan book six times bigger. The key hurdle now is regulation. RBI rules prevent a single promoter from controlling two banks, so Fairfax must either merge CSB into IDBI—a complex task—or sell its stake in one. The central bank's 'fit and proper' assessment will be crucial. For the sector, this signals the government's resolve on privatisation and could pave the way for more strategic M&A, offering a blueprint for how foreign capital can acquire significant banking assets in India.

Most affected: Private sector banking M&A

Key takeaway: Watch for the roadmap Fairfax presents to the RBI for resolving its dual-bank ownership, as this will shape the structure of the combined entity.
